UAE eInvoicing scope, exemptions and the AED 50 million threshold

From 1 January 2027, invoices between businesses in the UAE start moving to eInvoices. An eInvoice is a structured data file, not a PDF or a scanned copy. It passes from the seller's service provider to the buyer's service provider, and the tax data is reported to the Federal Tax Authority (FTA).
The first question most finance teams ask is whether this applies to them at all. The answer depends less on company size or VAT registration than many people expect. A small consultancy with no VAT registration can be in scope when it bills other businesses. A large VAT-registered retailer can have most of its sales outside the system, because sales to consumers are excluded.
The rules sit in the Ministry of Finance (MoF) Electronic Invoicing Guidelines v1.1, published on 1 June 2026, and in Ministerial Decision No. 243 of 2025, as amended by Ministerial Decision No. 197 of 2026 from 1 October 2026. They work as a sequence of checks: are you doing business in the UAE, is this type of transaction covered, and does a specific exclusion apply? Only after that does revenue come in, and it decides your deadline, not your scope.
Short answer: UAE eInvoicing applies to anyone who carries out business transactions in the UAE, whether or not they are registered for VAT and whether or not they are based in the UAE. Sales to consumers and a short list of specific transactions are excluded. The AED 50 million threshold decides only when you must start.
Who does UAE eInvoicing apply to?
Section 6.1 of the Guidelines sets the rule: "All Persons who make a Business Transaction in the UAE, notwithstanding their VAT registration status, are within the scope of Electronic Invoicing."
Three defined terms do most of the work. A "Business" is any activity carried out regularly, on an ongoing and independent basis. A "Business Transaction" is any transaction carried out in the course of that Business. A "Person" is any natural or legal person. So a sole trader who invoices other businesses is covered in the same way as a company.
Does VAT registration decide UAE eInvoicing scope?
No. A business below the VAT registration threshold, or one that makes only VAT-exempt supplies, can still be in scope. It issues a Commercial Invoice instead of a Tax Invoice, through the same system. Our guide to UAE eInvoicing for non-VAT-registered businesses explains the document and how to get the identifier you need.
Does a business based outside the UAE need to issue eInvoices?
It can. Under Section 6.3.3, a person with no place of residence in the UAE that must issue Tax Invoices under the VAT Decree-Law should issue them as eInvoices. Physical presence is not the test. The VAT invoicing obligation is.
Are exports and Free Zone sales covered?
Yes. The test looks at the person doing business in the UAE, not at where the customer is. Exports are one of the eight invoice scenarios in the Guidelines. When the foreign buyer has no Peppol ID, the seller uses a fixed buyer address, 0235:9900000099. Peppol is the international network that carries the eInvoices.
Free Zone companies are in scope on the same terms as mainland companies. Some of their invoices need extra details, which our guide to eInvoicing for Free Zone and Designated Zone businesses covers.
Are investment holding companies in scope?
A holding company whose revenue comes only from passive income and that has no Business Transactions is out of scope (Section 6.3.1). The position changes as soon as it recharges costs, such as management costs, to third parties or related companies. Those recharges are Business Transactions, and the company comes into scope for them.
Which transaction types are covered?
Section 6.2 names four covered transaction types and excludes anything to or from a private individual.
Transaction type | Covered by UAE eInvoicing? |
Business to business (B2B) | Yes |
Business to government (B2G) | Yes |
Government to business (G2B) | Yes |
Government to government (G2G) | Yes |
Business to consumer (B2C) | No |
Consumer to business, government or consumer (C2B, C2G, C2C) | No |
The exclusion covers "any supplies to or from natural persons who are not in Business." A sale to a shopper is out. So is a purchase from a private individual who is not trading.
Many businesses have both kinds of sale. A retailer that sells to shoppers and also supplies other companies issues eInvoices for the company sales only.
Selling to government does not give a business more time. A supplier to a ministry or authority follows its own phase, set by its own revenue. The later government date, 1 October 2027, applies to government entities themselves.
Which transactions are excluded from UAE eInvoicing?
Apart from sales to consumers, four kinds of transaction are excluded. They are sovereign government activity, certain airline services, certain financial services and, for a limited time, transactions inside a VAT group. Article 4 of Ministerial Decision No. 243 of 2025 lists them, and Section 7 of the Guidelines explains them. Each one applies to a type of transaction, not to a whole business. A bank, an airline or a government body can have excluded transactions and in-scope transactions at the same time, so check each type of sale separately.
When are government activities excluded?
Section 7.1 excludes a transaction only when all three of these conditions are met:
● "Conducted by a Government Entity"
● "In a sovereign capacity"
● "Not in competition with the private sector"
A government entity that runs a commercial service alongside private providers fails the third condition. That service stays in scope.
Which airline services are excluded?
Section 7.2 permanently excludes two airline services:
● Passenger transport "provided by an Airline via an Aircraft, where an Electronic Ticket is issued to the passengers."
● "Ancillary services provided directly to the passenger by an Airline where an Electronic Miscellaneous Document is issued."
International transport of goods by an airline, where an Airway Bill is issued, has a temporary exclusion. It lasts 24 months from the mandatory implementation date set in Ministerial Decision No. 244 of 2025.
Other transport is not excluded. A freight forwarder or a ground transport company issues eInvoices for its business sales in the normal way.
Which financial services are excluded?
Section 7.3 excludes "Financial services which are exempt from VAT in accordance with Article 42 of the VAT Executive Regulation." Exempt financial services supplied to non-resident customers, which qualify as zero-rated exports under Article 31, are also excluded.
Financial services that are standard-rated when supplied to UAE customers stay in scope. This holds even when they are zero-rated because the customer is outside the UAE. In practice, a bank checks each service line. Services that are exempt from VAT are out. Fee-based services that carry VAT at the standard rate are in.
What does the AED 50 million threshold decide?
The threshold decides when you must comply. It does not decide whether you must comply. A business below AED 50 million is still fully in scope for its business transactions, with a later deadline.
The table gives two dates for each group. The first is the deadline to appoint an Accredited Service Provider (ASP), a company accredited by the MoF to exchange eInvoices and report tax data for you. The second is the date eInvoicing becomes mandatory.
Group | Appoint an ASP by | Mandatory from |
Revenue of AED 50 million or more (Phase 1) | 30 October 2026 | 1 January 2027 |
Revenue below AED 50 million (Phase 2) | 31 March 2027 | 1 July 2027 |
Government entities | 31 March 2027 | 1 October 2027 |
Any business can start voluntarily from 1 July 2026.
The Phase 1 deadline for appointing an ASP was originally 31 July 2026. Ministerial Decision No. 66 of 2026 moved it to 30 October 2026 and left the other dates unchanged. If your copy of the Guidelines still shows 31 July, use the later date.
The UAE eInvoicing timeline records every change to these dates with its official source.
How is "Revenue" measured for the threshold?
Section 3 of the Guidelines defines Revenue like this:
"The gross income earned by a Person during the most recent Accounting Period, based on the financial statements prepared in accordance with applicable legislation in the UAE or, if such financial statements are not available, based on other documentation acceptable to the FTA."
Two points follow from this wording:
● Use gross income, not VAT taxable turnover. Take the revenue figure from your financial statements.
● Use your most recent accounting period, not a forecast. A business that recorded AED 45 million last year is in Phase 2, even if this year is heading for AED 60 million.
What if your revenue is close to AED 50 million?
Your phase follows the figure in your most recent financial statements. If that figure is below AED 50 million but this year's revenue will pass it, plan your project against the Phase 1 dates anyway. Choosing an ASP, connecting your systems and testing all take time, and being ready early costs nothing.
Do VAT group members get more time?
Only for transactions inside the group. Ministerial Decision No. 197 of 2026 treats Business Transactions between members of the same VAT group as excluded transactions for 24 months from 1 January 2027. Sales to customers outside the group follow each member's normal phase. Our guide to eInvoicing for VAT groups and intercompany billing explains how this works for each member.
What if your buyer is not on the system yet?
Buyers and sellers will not all be ready on the same day. Section 10.2.2 covers a seller issuing a Tax Invoice to a buyer that has not yet implemented eInvoicing and has no Participant Identifier. The seller includes the fixed address 0235:9900000098 on the eInvoice, so the tax data is still reported. The seller also gives the buyer a regular Tax Invoice directly.
This does not delay the buyer's own obligation. Under Article 5 of Ministerial Decision No. 243 of 2025, both the issuer and the recipient of an invoice must appoint an ASP. A buyer still has to be on the system by its own deadline.
What do you need to do once you are in scope?
For every transaction type that comes out as "in scope", the same steps follow:
Appoint an ASP from the MoF's register of Accredited Service Providers before your deadline.
Get your Tax Identification Number (TIN). It is the first 10 digits of any Tax Registration Number (TRN) the FTA has issued to you, for VAT, Corporate Tax or another tax. With no FTA registration at all, you generate a TIN through EmaraTax, the FTA's online portal.
Get your Participant Identifier, your address on the Peppol network, through your ASP. It is 0235 followed by your 10-digit TIN. Our guide to EmaraTax onboarding walks through these steps.
Send and receive invoices in PINT AE, the UAE version of the Peppol International (PINT) invoice format, through your ASP. Your ASP reports the tax data to the FTA. The 5-corner model guide shows each step.
Keep your eInvoices, credit notes and related data for the required period. See our guide to eInvoicing retention rules.
Is this transaction in scope? A four-question self-check
Ask these questions for each type of transaction your business carries out. The first three decide scope. The fourth decides your deadline.
Is this a Business Transaction carried out in the UAE? Where your business is based, and whether it is VAT-registered, does not change the answer.
Is it B2B, B2G, G2B or G2G? A sale to or purchase from a private individual (B2C, C2B) is out of scope.
Does one of the exclusions cover it: sovereign government activity, the airline services listed above, VAT-exempt financial services under Article 42 or, for 24 months from 1 January 2027, a transaction between members of your VAT group?
If the transaction is in scope, which dates apply? AED 50 million or more in gross income in your most recent accounting period means Phase 1. Below that means Phase 2. Government entities have their own dates.
How does Zoho Books help once you know you are in scope?
Once you know which of your transactions are in scope, the next decision is your ASP. Zoho Software Trading LLC is an Accredited Service Provider on the MoF register (accreditation number 121988). If you use Zoho Books, you select Zoho in EmaraTax and finish a three-step setup in Zoho Books settings.
According to the Zoho Books eInvoicing help guide and eInvoicing page, Zoho Books covers both sides of an in-scope transaction:
● Invoices and credit notes you issue. They are created in PINT AE and sent over the Peppol network. Before sending, Zoho Books checks the required fields, including your TRN and your customer's TRN.
● eInvoices you receive. Supplier eInvoices arrive as draft bills, and supplier credit notes as draft vendor credits, for you to check.
● A status on every eInvoice. Each one shows Yet To Be Pushed, Pushed or Failed, and a pushed eInvoice gets a unique identifier (UUID).
The first 100 eInvoicing transactions are free on the Professional and higher paid plans of Zoho Books UAE. After that, transaction packs start at AED 41 for 100 transactions (Zoho Books pricing).

Frequently asked questions
Can the list of excluded transactions change?
Yes. The Minister can add further excluded transactions by decision (Article 4 of Ministerial Decision No. 243 of 2025, and Section 7.4 of the Guidelines). The list changed in October 2026, when VAT group transactions were added for 24 months. Check the MoF's announcements before you rely on an exclusion for a new line of business.
I only buy from other businesses. Do I still need an ASP?
Yes. Ministerial Decision No. 243 of 2025 requires both the issuer and the recipient to appoint an ASP. A business that only receives invoices from suppliers still needs an ASP by its own deadline, so it can receive eInvoices.
Do zero-rated and VAT-exempt sales need eInvoices?
Yes, unless one of the specific exclusions covers them. Zero-rated, exempt and out-of-scope are tax categories shown on the eInvoice. They are not reasons to skip issuing one. The only VAT-exempt sales that fall outside eInvoicing are the financial services excluded by Section 7.3.
Are there penalties if I start early, before my phase?
No. eInvoices you issue voluntarily, before your phase starts, are not subject to the eInvoicing penalties (Article 4 of Ministerial Decision No. 243 of 2025, as amended by Ministerial Decision No. 197 of 2026). The penalties apply from your mandatory date.
Does a freelancer or sole trader need eInvoicing?
Yes, when they invoice other businesses or government bodies in the course of their business. The Guidelines define a Person as any natural or legal person, so trading as an individual does not remove the obligation.
Can Zoho Books handle UAE eInvoicing for my business?
Yes, for the invoices and credit notes you issue and the eInvoices you receive from suppliers. Enable taxes and enter your TRN in Zoho Books, select Zoho Software Trading LLC as your ASP in EmaraTax, and complete the setup under Settings, E-Invoicing.
